Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right to make changes or modifications to these Terms at any time. We will alert you about material changes by updating the "Last updated" date and, where the change is significant, by notifying Users by email or in-product notice. Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws under French law and applicable international conventions.
The Content and the Marks are provided on the Site "as is" for your information and personal use only. Except as expressly provided in these Terms, no part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission.
Provided that you are eligible to use the Site, you are granted a limited, non-exclusive, non-transferable license to access and use the Site and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. We reserve all rights not expressly granted to you in and to the Site, the Content, and the Marks.

The Site allows Users to create, submit, post, display, transmit, or otherwise contribute content and materials, including but not limited to audio tracks submitted for feedback, written messages, video feedback (in the case of artists), comments, suggestions, or other material (collectively, "Contributions").
Contributions may be viewable by other Users of the Site and by participating artists, depending on the nature of the service. Your Contributions are processed in accordance with our Privacy Policy.
When you create or make available any Contribution, you represent and warrant that:
Any use of the Site in violation of the foregoing may result in suspension or termination of your account.
You retain full ownership of your Contributions and any intellectual property rights associated with them.
By submitting a Contribution to the Site, you grant Echio a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, and display your Contribution solely to the extent necessary to operate and provide the Site's services to you (for example, transmitting your track to the artist you have selected, or storing feedback videos for your future access). This license terminates when you delete the Contribution from your account, except to the extent necessary for backups, legal retention, or to preserve the integrity of services already delivered to other Users.
By submitting suggestions, ideas, or feedback regarding the Site itself, you agree that we may use such feedback for any purpose without compensation to you.
We are not liable for any statements or representations contained in your Contributions. You are solely responsible for your Contributions.
You acknowledge that any questions, comments, suggestions, ideas, feedback, or other information about the Site itself ("Submissions") that you provide are non-confidential and shall become our property. We may use and disseminate these Submissions for any lawful purpose without acknowledgment or compensation to you. You warrant that any Submissions are original to you or that you have the right to submit them.
We reserve the right, but not the obligation, to:
These Terms shall remain in full force and effect while you use the Site.
We reserve the right to deny access to and use of the Site to any person who breaches these Terms or any applicable law. We may terminate or suspend your account or remove any Contribution at any time, with notice where reasonably possible, except where immediate action is necessary to protect the Site, other Users, or third parties.
If we terminate or suspend your account for cause, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party.
You may close your account at any time by contacting us. Closing your account does not entitle you to a refund for tokens previously purchased, except as set out in Section 12 or as required by applicable consumer protection law.
We reserve the right to change, modify, or remove the contents of the Site at any time. We will use reasonable efforts to notify Users in advance of significant changes affecting paid services. However, we have no obligation to update any information on our Site.
We cannot guarantee the Site will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance, resulting in interruptions, delays, or errors. We are not liable for any modification, suspension, or discontinuance of the Site, except where such liability cannot be excluded under applicable law.
Echio operates a token-based system. Tokens are the unit of value used to access services on the Site (such as Music Feedback / DeepDive, live session tickets, video purchases, and other services).
Tokens fall into two categories:
(a) Purchased Tokens — tokens acquired by a User through a paid transaction on the Site. Purchased Tokens do not expire and remain available in the User's account, subject to the continued operation of the Site.
(b) Promotional Tokens — tokens credited to a User's account free of charge, including (without limitation) tokens granted through promotional campaigns, coupon codes, referral rewards, gifts, compensation credits, or any other non-purchase source.
Promotional Tokens expire twelve (12) months after the date they are credited to the User's account. Once expired, Promotional Tokens cannot be reactivated, refunded, or exchanged for cash. The expiry date of any Promotional Tokens granted is clearly communicated to the User at the time the tokens are credited and is visible in the User's account.
When a User holds both Purchased and Promotional Tokens, Promotional Tokens with the earliest expiry date are consumed first for any service requiring tokens.
Echio reserves the right to revoke any Promotional Tokens credited as a result of fraud, abuse, breach of these Terms, or where they were credited in error.
Purchases of tokens are final and non-refundable, except in the following circumstances, in which the value of tokens spent on the service will be refunded back to the User's token balance:
The following purchases are non-refundable: donations to artists, file purchases, and video purchases that have already been delivered or made available to the User.
Refunds are issued in tokens credited back to the User's account, not in cash, except where French or EU consumer protection law mandates a cash refund.
In accordance with Article L221-18 of the French Consumer Code (Code de la consommation), Users who qualify as consumers and reside in the European Union benefit from a fourteen (14) day right of withdrawal from the conclusion of a contract for the supply of digital content or services, without having to justify their decision or pay any penalty.
However, in accordance with Article L221-28 1° and 13° of the same Code, this right of withdrawal does not apply to:
When you purchase tokens or initiate a service on the Site (for example, by submitting a track for Music Feedback or purchasing a video), you expressly request that performance begin immediately and acknowledge that you waive your right of withdrawal once the service has begun or the digital content has been made available.
To exercise the right of withdrawal where it applies, you may contact us at [contact email] within fourteen (14) days of the conclusion of the contract. A standard withdrawal form is available upon request.
These Terms are governed by and construed in accordance with the laws of France, without regard to its conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is excluded.
Nothing in this clause deprives a User who qualifies as a consumer of the protection afforded by mandatory provisions of the law of their country of habitual residence.
In the event of a dispute relating to these Terms or your use of the Site, you agree to first contact us at contact@echio.co to seek an amicable resolution. We will use reasonable efforts to respond within thirty (30) days.
In accordance with EU Regulation 524/2013, consumers residing in the European Union may also access the European Commission's Online Dispute Resolution platform at: https://ec.europa.eu/consumers/odr.
Subject to the mandatory provisions of consumer protection law, any dispute that has not been resolved amicably or through mediation shall be submitted to the competent French courts. Where the User is a consumer, the User retains the right to bring proceedings before the courts of the Member State in which they are domiciled, in accordance with applicable EU law.
There may be information on the Site that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Site at any time without prior notice. Corrections to pricing do not affect transactions already completed.
To the fullest extent permitted by applicable law, the Site is provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, in connection with the Site and your use of it, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We make no warranties about the accuracy or completeness of the Site's content or the content of any websites linked to the Site, and assume no liability for any errors, mistakes, or inaccuracies of content.
Nothing in this section affects your statutory rights as a consumer under French and EU law, including the legal warranty of conformity (garantie légale de conformité, Articles L217-3 et seq. of the French Consumer Code) and the warranty against hidden defects (garantie des vices cachés, Articles 1641 et seq. of the French Civil Code), where applicable.
To the fullest extent permitted by applicable law, in no event shall Echio, our directors, employees, or agents be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, or loss of data arising from your use of the Site.
Our total aggregate liability to you for any cause whatsoever and regardless of the form of the action shall be limited to the greater of (a) the total amount paid by you to Echio in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred euros (€100).
Nothing in these Terms excludes or limits our liability for: (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; (iii) gross negligence (faute lourde) or willful misconduct (faute dolosive); or (iv) any other liability that cannot be excluded or limited under French law.
You agree to defend, indemnify, and hold harmless Echio, including our subsidiaries, affiliates, officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees, made by any third party arising out of:
This indemnification does not apply to the extent any loss or claim results from Echio's own gross negligence or willful misconduct.
We process personal data in accordance with our Privacy Policy and the EU General Data Protection Regulation (GDPR) and the French Data Protection Act (Loi Informatique et Libertés).
We will maintain certain data that you transmit to the Site for the purpose of operating the Site, as well as data relating to your use of the Site. Although we perform regular routine backups of data, you remain responsible for any data you transmit. Our liability for any loss or corruption of data is limited as set out in Section 18 and as permitted by applicable law.
Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing.
You agree to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed by us or via the Site, in accordance with Article 1366 of the French Civil Code.
These Terms, together with the Privacy Policy and any other policies posted on the Site, constitute the entire agreement between you and Echio relating to the subject matter hereof. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver.
We may assign any or all of our rights and obligations to others at any time, including in the context of a merger, acquisition, or sale of assets. You may not assign your rights or obligations under these Terms without our prior written consent.
If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.
No joint venture, partnership, employment, or agency relationship is created between you and Echio as a result of these Terms or use of the Site.
These Terms are drafted in English. If a French translation is provided, the French version shall prevail for Users who are French consumers, in accordance with applicable law.
